looking to buy a PT PMA

Hi,

My partner and I are looking to open a dive resort soon arround Bali. We are going for a PT PMA structure. The recently tightening of law appliance in terms of real sum of investment (10 000 000 000rp) required after a year is above our budget. Therefore we want to buy an existing one in any scope of activity from anywhere in indonesia but with a permanent licence already and will then change everything we need.
Please let us know if interested and will go further privatly.

You might want to give John Huxley at Eco Dive in Amed a call.  He would be your best shot, in that if any of the current dive companies are for sale, he’ll know about it.

Tell me reasons for your choice?

I am asking because I have not spent time researching on the  subject of forming a PT company as yet, but have operated 20 years before 2000 in Indonesia. I ceased during the extended down-turn. I am not in the diving or other sea fun related business.

@romanostra51 Two things worth flagging urgently. First, the 10 billion IDR requirement is the most misread number in Indonesian investment. It's placed capital (modal ditempatkan) recorded in the deed of establishment, not cash you have to deposit or deploy in year one. There's no enforcement mechanism that audits physical deployment of 10B IDR within 12 months. What exists: minimum investment plan at NIB stage, and BKPM LKPM reporting that tracks realization over time. The framework is more flexible than "spend 10B year one or lose PMA". Verify directly with OSS-RBA or an independent consultant before restructuring your plan around a number that may not apply the way you think. Second, buying an existing PMA and converting KBLI sounds like a shortcut but rarely is. You inherit every past liability (unpaid taxes, BPJS arrears, undisclosed contracts, pending labor disputes, AHU history), proper due diligence on the target entity costs almost as much as fresh setup, AND converting KBLI requires re-licensing at OSS-RBA with the new sector's risk class, capital requirements, and zoning compliance. So you're not skipping licensing, you're inheriting old liabilities AND doing new licensing on top. For dive resort specifically, you'll need KBLI 79110 (travel/dive operations) + 55130 or 55194 (accommodation) + possibly AMDAL for marine zones + certified instructors with KITAS via the PMA. Honest move: spend €1-2K on independent legal review of your actual capital position and the cleanest path before spending €10-30K on an existing PMA.
